General Legal Counsel
Who we are
Jade Energy Solutions is developing the Jade Energy Terminal in Wilhelmshaven, Germany’s only deep-water port and one of Europe’s most strategically significant energy infrastructure projects. Designed as a multi-energy hub, the terminal will enable the large-scale import of LNG and e-NG, with the flexibility to handle future green energy imports such as hydrogen. It will also be directly connected to Germany’s national gas grid, rail network, and emerging green energy infrastructure.

The Role
As General Legal Counsel at Jade Energy Solutions, you will provide strategic and practical legal support across corporate, commercial, regulatory, and project-related matters. You will partner with internal teams and external stakeholders to ensure legal compliance, reduce risk, and enable successful project development in Germany.
Tasks of the job
- Provide legal advice to Jade Energy’s German entities on corporate duties and housekeeping, including shareholder meetings and governance matters.
- Advise on day-to-day operational topics such as intragroup services, employee transfers, employment documentation, office and IT arrangements, and related commercial matters.
- Support the design and development of the German corporate structure, including the creation of new subsidiaries and affiliated entities.
- Address regulatory, commercial, corporate, and employment law questions arising in project and operational contexts.
- Draft, review, and negotiate a wide range of contracts, including templates, customer agreements, supply agreements, and EPC/plant construction contracts.
- Advise on structuring legal relationships with project partners, such as joint development agreements and joint ventures.
- Negotiate and finalize real estate agreements, including land purchase, leasing, rental agreements, compensation arrangements, and environmental or landscaping measures.
- Manage the legal relationship with port authorities.
- Serve as the primary liaison for external legal advisors and manage outsourced legal work.
- Prepare clear, concise legal briefings and decision-support materials for management.
- Monitor legislative developments at national and EU levels and collaborate with the Public Affairs team on stakeholder dialogue.
- Set up and monitor Jade Energy’s compliance framework, including privacy, conflict-of-interest, and whistleblowing frameworks.
- Oversee and coordinate arbitration and judicial proceedings within the German scope.
- Manage all legal aspects of Jade Energy Germany, ensuring alignment with overall business objectives.
- Design, implement, and follow up procurement processes, from requests for proposal and tendering to the purchasing of goods and services.
Your Profile
- Law degree from a reputable university with strong academic results.
- Long-standing, comprehensive experience in legal practice as a project or corporate counsel in an international environment. Experience in a major law firm is preferred.
- Experience in M&A, transactional work, project finance, and dispute resolution, with strong legal judgment and negotiation skills.
- Ability to provide commercially sound legal advice for both development-stage projects and operational matters, including contentious scenarios.
- Proven ability to manage multiple projects concurrently, including effective oversight of external counsel and strong organizational discipline.
- Strong interpersonal and relationship-building skills, with the ability to influence and collaborate across teams.
- Confidence and presence to represent Jade Energy in interactions with key stakeholders and decision-makers.
- Strong analytical capability, with the ability to navigate complexity and make decisions even with incomplete information.
- High personal drive, accountability, and commitment to delivering results.
- Excellent command of written and spoken English, with cultural awareness and the ability to work effectively in international settings.
- Professional integrity, ethical judgment, and reliability.
